These Terms of Service ("Terms") govern the relationship between JG Solutions ("the Firm," "we," "us," or "our"), operating the InvoiceBloom pages on bloomwell.cc, and the business that subscribes to InvoiceBloom ("Customer," "you"). The person accepting these Terms confirms that they have authority to bind the Customer. If you subscribe through Google Cloud Marketplace, these Terms are the end-user terms for the InvoiceBloom listing, and Google's Marketplace terms also apply to your purchase.
1. The Service
InvoiceBloom (the "Service") reads supplier invoices from your accounts-payable mailbox, extracts and checks their data, matches vendors and suggests GL accounts, routes invoices for approval in Slack, and, after a person approves an invoice, creates a bill in QuickBooks Online with the original document attached. The Service also provides a dashboard and an audit log.
The Service does not make payments to suppliers and does not provide accounting, tax or legal advice.
2. Your Account and Connected Services
- To use the Service you must connect a Gmail / Google Workspace mailbox, a Slack workspace and a QuickBooks Online company that you are authorized to connect. You remain responsible for those accounts and their own terms.
- You choose your approvers and settings, such as approval limits and second-approver thresholds, and you are responsible for keeping them correct.
- Keep dashboard credentials secure and tell us promptly at contactus@bloomwell.cc about any unauthorized use.
3. Human Approval and AI Output
The Service uses artificial intelligence (Gemini on Google Cloud Vertex AI) to read invoices and make suggestions. AI output can be wrong or incomplete. The Service checks AI output with rules and creates a bill only after a person approves it, but you are responsible for reviewing each invoice before approving it and for the bills and payments that result. Automated checks for duplicates, changed bank details and other issues reduce risk but do not guarantee that every error or fraudulent invoice will be detected.
4. Fees and Billing
- Plans. Fees are set by your plan as listed on Google Cloud Marketplace or in your private offer. At the time of these Terms: Starter $199/month (200 invoices included), Professional $699/month (1,000 included) and Business $1,299/month (2,000 included, up to 100,000 a month). Each invoice above the included amount is charged at $0.75. Enterprise pricing is by agreement.
- What counts. An invoice is counted once, when it is processed as a unique invoice. Non-invoice documents (such as statements, receipts and newsletters) and detected duplicates are not counted.
- Billing. Purchases through Google Cloud Marketplace are billed by Google to your Google Cloud billing account, and usage above your plan's included volume is reported to Google for billing. Fees exclude taxes unless stated otherwise.
- Included invoices. Processing continues when you exceed your plan's included invoices; each additional invoice is charged as above. We notify your administrators at 80% and 100% of the included amount.
- Price changes. We may change prices with at least 30 days' notice, in line with Google Cloud Marketplace rules. A change takes effect at your next renewal or billing period after the notice period.
5. Term, Cancellation and Suspension
- Your subscription starts when it is activated and continues until you cancel it through Google Cloud Marketplace or as your private offer specifies.
- When the subscription ends, the Service stops processing email. Your data is handled as described in Section 7.
- We may suspend the Service if fees are unpaid, if your Google Cloud billing account or entitlement is no longer active, if your use breaches these Terms, or to prevent a security risk or harm. Where reasonable, we will give you notice first.
6. Acceptable Use
You will not:
- use the Service for unlawful, fraudulent or deceptive purposes, or to process documents you have no right to process;
- try to break, probe or get around the Service's security, or access another customer's data;
- reverse engineer the Service, except where law allows;
- resell or provide the Service to third parties outside your organization without our written consent;
- overload the Service or interfere with its operation.
7. Your Data
- Ownership. You own the data you or your connected services provide to the Service ("Customer Data"). You give us permission to process Customer Data only to provide, secure and support the Service for you, as described in our Privacy Policy.
- No training. We do not use Customer Data to train AI models, and we do not sell it.
- Your responsibilities. You confirm that you have the rights and notices needed for us to process Customer Data, including personal information of your employees and suppliers.
- Export and deletion. You may request an export of your Customer Data during your subscription and for 30 days after it ends. After that period, we delete your environment as described in the Privacy Policy.
8. Security
We will maintain reasonable administrative, technical and physical safeguards for Customer Data, including a dedicated environment for each customer, encryption, and least-privilege access. We will notify you without undue delay of a security incident affecting your Customer Data.
9. Intellectual Property and Feedback
We and our licensors own the Service, including its software, models and configuration, and all improvements to it. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes. If you send us feedback, we may use it without obligation to you.
10. Third-Party Services
The Service works with services we do not control, including Google (Gmail, Google Cloud, Vertex AI), Slack and Intuit QuickBooks Online. Their availability, changes and terms are outside our control, and we are not responsible for them. If a third party changes or restricts its service, we may need to change or limit related features.
11. Confidentiality
Each party will protect the other's non-public information with reasonable care, use it only for purposes of these Terms, and not disclose it except to people who need to know it and are bound by similar duties, or as required by law.
12. Warranties and Disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, the Service is provided "as is" and "as available," and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service, or its AI output, will be error-free or uninterrupted.
13. Limitation of Liability
To the extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data; and (b) each party's total liability arising out of these Terms is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law. In particular, we are not liable for payments made or bills approved by you on the basis of invoices processed by the Service.
14. Indemnity
- By us: we will defend you against third-party claims that the Service, as we provide it, infringes their intellectual property rights, and pay resulting damages awarded or settlements we agree to.
- By you: you will defend us against third-party claims arising from your Customer Data, or from your use of the Service in breach of these Terms or the law.
The indemnified party must notify the other promptly, give it control of the defense, and cooperate reasonably.
15. Changes to These Terms
We may update these Terms. We will give at least 30 days' notice of material changes by email or in the Service. The changes apply from the start of your next billing period after the notice. If you do not agree, you may cancel before they take effect.
16. General
- Governing law and disputes: these Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Sri Ganganagar, Rajasthan, India.
- Assignment: neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all of its business.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Entire agreement: these Terms, the Privacy Policy, and any order or private offer are the entire agreement on this subject. If they conflict, the order or private offer prevails.
- Notices: we send notices to your administrator's email address. Send notices to us at contactus@bloomwell.cc.
- Severability and waiver: if a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver.
